    SSG A/S is in the front of service in connection with damages and industrial and property services in the Nordic region. SSG A/S is one of the market's best in terms of maintenance of buildings, preventing and minimizing damage, and saving values.

    One of the more special cases we have assisted SSG A/S was when SSG A/S discovered that a former senior employee had prepared the start of his own competing business during his notice period. A few days after his last day, the employee offered a significant assignment in which he had offered on behalf of SSG A/S a few months earlier and he had also been in charge of the preliminary work.

    With his full knowledge of the job and offers from SSG A /S, the newly started company could easily subvert SSG A/S and was therefore awarded the job. A job that was expected to span at least a year to one year and a half.

    In close and intense cooperation with Winsløw, SSG A/S provided images of the employee's work on the site, found mail documentation, obtained statements from subcontractors and collaborators about the times for the various steps that the former employee had tak-en in connection with the startup of the company and the bid on the assignment.

    Therefore, in a few months, SSG A/S succeeded in prohibiting the former employee from continuing the work on the specific job. The Eastern High Court subsequently confirmed the decision. The employee agreed to pay compensation to SSG A/S for the benefit of SSG A/S, following the decision of the national court.

    In general, it is very difficult to ban a former employee's unfair behavior after resignation. The case shows that you can be successful and that it is crucial in order to have the prohibition that the case is handled correctly from the start and that the required documentation is obtained.

    In addition, SSG A/S was able in a short time to take a decision to inform the former employee that his work on the assignment was unjustified and then immediately after the prohibition. If SSG A/S had hesitated and allowed the decision making process to last a week or two, the court would probably have rejected the prohibition despite the good documentation. Instead, SSG A/S would have had to raise claims against the former employee and the case would be decided several years later.

    FOLKEKIRKENS NØDHJÆLP

    Winsløw has provided strategic and legal advice to Folkekirkens Nødhjælp (DanChurch Aid) for the sale of its headquarters located centrally in Copenhagen. The assignment included obtaining all relevant documents relating to the property, preparation of memorandums on the optimization of the sales process, establishing of a digital data room and reply of inquiries from potential buyers in connection with the completion of due diligence, preparation of purchase agreement and bank guarantee conditions, as well as negotiations with the buyer in cooperation with the real estate agent and CFO in Folkekirkens Nødhjælp.

    Following completion of the sale of the property Winsløw negotiated for Folkekirkens Nødhjælp the conditions in a new lease contract for a new domicile of more than 3,200 square meters, which must be completely refurbished and rebuilt by the landlord prior to the relocation.

    LILLE LANGEBRO

    Lille Langebro is a bicycle and pedestrian bridge north of Langebro in Copenhagen, which will connect Bryghusgrunden by Vester Voldgade and Langebrogade on the Amager side. The upcoming bridge will be part of the Green Cycle Route and Havneruten. The bridge will create better conditions for pedestrians and cyclists and bring the city and the port closer together.

    In 2016, Realdania By & Bolig A / S offered a construction contract for the bicycle and pedestrian bridge over the Copenhagen Port (Lille Langebro), which was awarded to JV Mobilis Denmark - Hollandia Infra I / S.

    In this connection, we have advised JV Mobilis Denmark - Hollandia Infra I / S regarding the construction contract, including the contract and the General and Special Terms and Conditions of the agreement with RealDania By og Byg A / S.

     Our advice consisted of:

    • Review of the contract with annexes, supplement and general and special terms focusing on risk analysis

    • Conducting a course for project staff regarding the contractor's obligations under the construction contract

    • Ongoing advice on contractual issues during the execution process

    • Assisting in connection with agreeing new terms and conditions after essential parts to the bridge was destroyed in an accident in the habour of Rotterdam

     

    Lille Langebro is now expected to be completed in 2019.

    ENGHAVE CENTRET

    The Enghave Center (E/F) was built in the 1970s and was originally a hotel, today the building has been transformed into condominiums and businesses. For many years, the building was only maintained to a lesser extent, but the owners association has now decided that they want a more comprehensive  renovation of the facades on their two residential buildings.

    Winsløw Advokatfirma have assisted the owner association in connection with the  renovation of the facade and assembly of balconies. The owner association consists of two residential buildings, with 128 apartments and 3 commercial apartments and a roof terrace.

    Enghave Center wanted to expand the residential areas in each of the apartments and climate-proof the new facade with new windows, doors and balconies. The roof terrace is a 900 sqm. green roof that serves  as protection towards cloud-burst and a living area.

    Part of the renovation has received urban renewal support from the municipality of Copenhagen, which has resulted in the project being offered under the tender law.

    Our assistance consisted of:

    • Discussion of the tender form, including suitable award criteria.

    • Review and quality assurance of the final tender document.

    • Participation in evaluation of the prequalified tenderers.

    • Participation in negotiation rounds with tenderers.

    • Preparation of construction contract.

    • Negotiations with the contractor on the final contract.

    • Negotiations with the contractor after delay, extra work, etc.

    • Preparation of addition for the construction contract

     

    The renovation of the Enghave Center was the board's idea in order to create a new and better E/F Enghave Center.

    NREP A/S & HOLTE MIDTPUNKT

    Holte Midtpunkt is the common favorite shopping destination for Holte’s residents, with grocery stores, retail stores, libraries and offices.

    The owner of Holte Midtpunkt, NREP A/S, has over the last couple of years conducted a comprehensive renovation and updating of the shopping center, which has necessitated an update in the terms of a number of center tenants.

    Winsløw assists NREP A/S with current general business lease advice and has also represented NREP A/S in specific business lease lawsuit.

    VIRUMGÅRDSVEJ

    Our client, a real estate company, was in a situation, that the domicile tenant after just under four years needed twice as much space.

    The good and solid tenant should be retained in the property. At the same time the satisfaction of the tenant’s needs would be a big risk, if the property was still owned by the real estate company. Moreover the property would after a doubling of the space be proportionately to big compared to the portfolio, especially because the building only have one tenant.

    The real estate company would, after an extension of the property, either by extension or buying of the neighboring property, have a good case with a solid domicile tenant with a long termination period and a good and useful property. Therefore, in cooperation with a leasing company, the client had developed a comprehensive solution in which the neighbor property was to be bought and the tenant had to become a lessee in both properties. The properties were sold to the leasing company. The existing property with handover shortly after and the neighboring property with handover date almost under a year later when the existing tenants were moved out and the property had been rebuilt according to the tenant's needs.

     Despite the fact that there were many legal challenges along the way and despite the fact that many simultaneous and conditional agreements were to be concluded and, in addition, a construction contract had to be concluded and completion of the construction, it was possible to establish a very good model for all parties. The tenant got the extra space that the tenant needed and could continue operating in the existing property without having to spend time on moving. At the same time, the increased risk of being the lessee rather than tenant was covered by an agreement with the real estate company.

     The leasing company got in connection with the purchase of the properties for approx. DKK 110 million a big part of its annual turnover on leasing properties placed with only one deal. The real estate company achieved a good profit by selling the existing property, that was in operation and the neighbor property as a turnkey construction, with a long-term tenant as a single package.

    The case shows that if we understand the client's problem and are open to solutions  beyond the usual, then it can be successful even though there are a lot of parts to be in place.

    DAB

    DAB is one of the country's largest companies that administers and leases more than 50,000 primary public housing apartments across the country.

    The public housing companies DAB administers are so-called public-law companies and therefore procurement of goods and services as well as construction and renovation tasks must comply with the applicable rules for supply, in which the EU rules contained in the Procurement Act and the Procurement Act's tender rules.

    The public housing companies DAB manages, runs on an ongoing basis building and renovation work on an annual basis of 0.5 billion DKK. DAB works according to an overall strategy under the heading 'Rooms for Development' and since 2006 they have been working on the focus areas; boards, homes, residents and employees.

    Winsløw assists in cases for various public housing companies administrated by DAB, including Lyngby Almene Boligselskab. There are usually cases related to the rather complicated rules for renting public housing, but there are also cases related to matric conditions or the sale of real estate.

    The work of public housing companies is complicated because of the interaction between public regulation, housing democracy and significant economic values.

    The property administration has two closely associated companies that cover the construction engineering Plan 1 A/S and real estate management Cobblestone Facility Service A/S. Together, the companies provide a full service comprehensive administration, advisory and operation-related services.

    Cobblestone manages more than 11,000 apartments spread over approx. 300 properties and a significant retail portfolio of centers.

    Winsløw has a close relationship with Cobblestone, and provides ongoing legal advice to both Cobblestone and its customers. This may concern matters relating to the association, rental, construction and disputes. In this connection, Winsløw represent the owners in legal proceedings.
